Software License Agreement (SLA)

Introduction
This Software License Agreement ("Agreement") is a legal agreement between you ("User," "you") and Happy Dog Trading, LLC ("Happy Dog Trading," "we," "our," or "us") governing your use of the TradeDog software and related services (the "Software").
By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.
Information Disclaimer
General Information Only
Please be advised that all content, data, and analytics provided by the Software are intended solely as general information for educational and journaling purposes.
None of the information, analytics, or data provided by the Software should be construed as:
- Investment advice or trading recommendations
- An offer or solicitation to buy or sell any security or financial instrument
- An endorsement or recommendation of any particular trading strategy, security, or market approach
- Tax, legal, or accounting advice
Use of the Software and reliance on any information it provides is undertaken at your own discretion and risk. Happy Dog Trading, LLC, along with its partners, representatives, agents, employees, and contractors, disclaims any responsibility or liability for trading decisions or outcomes based on Software usage.
License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal, non-commercial purposes.
This license does not grant you any ownership rights to the Software or its content.
Geographic Restrictions and Prohibited Use
Chinese Market Notice
This Software is not directed to, intended for, or available to residents of Mainland China. We do not market, distribute, or license the Software within Mainland China. Use of the Software from jurisdictions where such use is restricted or prohibited, including Mainland China, is strictly unauthorized.
The Software is intended for educational and analytical purposes only and does not provide brokerage, execution, or investment services. Users are solely responsible for ensuring that their use of the Software complies with all applicable laws and regulations in their jurisdiction.
Prohibited Jurisdictions: This license is void and the Software may not be used in jurisdictions where its distribution or use would be contrary to local laws or regulations, including but not limited to Mainland China. By accepting this Agreement, you represent that you are not located in a prohibited jurisdiction.
Compliance Responsibility: You are solely responsible for determining whether your use of the Software is lawful under the laws of your jurisdiction. We reserve the right to restrict or deny access to the Software from any jurisdiction at our discretion.
Restrictions
You agree not to:
- Copy, modify, distribute, sell, or sublicense the Software
- Reverse engineer, decompile, or attempt to derive source code from the Software
- Use the Software to provide services to third parties without our written consent
- Circumvent or disable any security or technical features of the Software
Ownership
All rights, title, and interest in and to the Software, including all intellectual property rights, remain with Happy Dog Trading, LLC. Nothing in this Agreement transfers ownership to you.
No Financial Advice
You are solely responsible for all trading decisions and outcomes. Futures and other financial instruments involve significant risk of loss.
Disclaimer of Warranties
The Software is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Happy Dog Trading, LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including trading losses, loss of profits, data, or goodwill.
Our total liability to you under this Agreement shall not exceed $100 USD.
Termination
This Agreement is effective until terminated. We may suspend or terminate your license at any time if you breach this Agreement.
Upon termination, you must immediately stop using the Software and destroy any copies in your possession.
Governing Law
This Agreement shall be governed by the laws of the State of Arizona, United States, without regard to its conflict of law principles.
Arbitration & Class Action Waiver
Any disputes arising under this Agreement shall be resolved through binding arbitration in Pima County, Arizona under the rules of the American Arbitration Association.
You agree that disputes will be resolved individually and not as part of a class, collective, or representative action.
Relationship to Terms of Service
Your use of the web platform and related services is governed by our Terms of Service. This Agreement and the Terms of Service are complementary, with this Agreement specifically governing software usage rights.
Entire Agreement
This Agreement constitutes the entire agreement between you and Happy Dog Trading, LLC with respect to the Software and supersedes all prior understandings relating to the Software.
